Client Agreement


Working Partnership

Our intent is to partner with your organisation so that everything feels easy. Therefore, by laying out our Terms and Conditions transparently, any changes or additional requirements can be understood and/or clarified at the beginning of the project. The following are our standard terms and conditions.

When referencing ‘we’ this refers to ‘Lysander Consulting Group Pty Ltd.’ And when referencing ‘you’, ‘your’, ‘your organisation’ this refers to you the client.


Invoicing

Unless agreed otherwise, invoices will be scheduled as per the following:

  • The first instalment of 30% of the total project fee

  • Equal monthly instalments of the remaining balance for the duration of the project.

We are always happy to accommodate additional requests or changes to our services. Where work requested falls outside of the original proposal but is related to it, this will be identified and added to the invoicing schedule. If services outlined in the proposal or statement of work are no longer necessary, you may still incur the proposed cost when we have committed resources, time or be charged by a third party. e.g. additional participants entering post-commencement date will incur digital access, GENOS and debrief fees alternatively a participant has formally commenced the program and a decision be made for them not to complete the program.

Our terms are 7 days from receipt of invoice. Our final invoice will mark the completion of works within the specified proposal or statement of work. Should additional works continue, this will be agreed on an addendum or additional scope of work.


Changes to or Cancellation of Project Terms

Lysander Consulting Group Pty Ltd. acknowledges that unexpected circumstances may result in the cancellation or changes to a project that was booked in good faith. Where a client needs to cancel or reschedule a workshop, program or any other program-related activity, any costs incurred will be identified and added to the final monthly instalment. These costs include but are not limited to:

  • Project management, administration and coordination

  • Instructional design and Development

  • Consultation

  • Consultant/facilitator cancellation charges

  • Travel that has been booked.

If Lysander Consulting Group Pty Ltd. have reserved time for the delivery of the program, it may also charge your organisation 50% of the fee for the non-executed part of the work.

By agreeing to these terms, we shall be entitled to raise the agreed price if we are required to undertake more work or incur more costs than might have been reasonably foreseen on conclusion of the proposal being sent to your organisation. For example:

  • Client Personnel Changes

  • Client Internal Technology issues

  • Last-minute Changes to Delivery Mechanism (e.g. face-to-face to virtual workshop delivery).

The above list of examples is not exhaustive.

Where one of Lysander Consulting Group Pty Ltd. consulting team is unable to deliver a scheduled workshop or other program-related activity due to COVID-19 or other personal circumstances, we will do everything within our power to find a suitable replacement. Where this is not possible, we will consult with you and discuss alternatives and associated costs, e.g., change to the delivery mechanism, travel costs. This list of examples is not exhaustive.


Intellectual Property

Lysander Consulting Group Pty Ltd. approaches Intellectual Property from a position of mutual respect where we see a client’s IP as their own and where we are willing to share our thinking as well as retain the right to leverage this thinking into the future in the development of new material. We will always respect the rights of our client in terms of their branding, products that have been customised specifically for them and to adhere completely to all confidentiality and security requirements. What this means is that we will always respect materials that have been developed for our clients and will not reproduce any material that could compromise the brand or reputation of our client in any way.


Code of Conduct and Ethics

Lysander Consulting Group Pty Ltd. care about our clients and how they are perceived in the marketplace. Our work focuses on working in partnership to deliver outcomes that will improve how they do business and how their people perform. We will always work with honesty and integrity and ensure we work in alignment with your values.


Confidentiality

Lysander Consulting Group Pty Ltd. have an ethical duty of confidentiality, which means we must not share or disclose your details of these terms of engagement to anyone, except as otherwise specified in this clause, without your consent unless required to by law.


Privacy

Lysander Consulting Group Pty Ltd. may collect Personal Information about you, your representatives, and others when we provide services to you. If we do, you agree to work with us to ensure that we both meet the obligations that we each may have under the Privacy Act 1988 (Cth) (as amended) (Privacy Act). The obligations may include notifying the relevant person to whom the personal information relates who we are and how we propose to use their personal information. Where you have collected personal information, you confirm that you have collected the personal information in accordance with the Privacy Act, that you are entitled to provide this personal information to us and that we may use and disclose the personal information for the purpose/s we provide our services to you. We will handle personal information in accordance with the Privacy Act.


Additional Costs

Whilst we will endeavour to deliver all the agreed workshops, we do understand in the current circumstances that face-to-face workshops may not be possible. Therefore, Lysander will offer a virtual workshop that will be discussed by both parties at an additional cost.

If travel is required direct costs will be charged as outlined below:

  • Economy airfares for consultants at cost, based on the most cost-effective flight available

  • Travel time for sessions facilitated in remote or regional locations or with unusual travel requirements - ‘If consultants are unable to get home on the day of the session, an additional travel fee equivalent to our half-day rate will apply (If remote (Darwin or Overseas, then a full day rate will apply)

  • Transfers from home to an airport, to accommodation (if required), to site and return and/or car hire for locations outside of the metro CBD

  • If consultants are required to drive to locations outside of the wider Metro area, a travel allowance of 66 cents per kilometre is allowed

  • Airport parking if required

  • Any necessary courier fees

  • Accommodation for consultants (if required) in a minimum 4-star property. Note: if it is unsafe for our consultants to travel home after an event or workday, an additional night’s accommodation may be required

  • Reasonable expenses for meals.

All work is to be carried out from Monday to Friday, normal business hours.

Weekend facilitation and travel will incur double rates.
